GENERAL TERMS OF SALE
1. SCOPE
Every purchase assumes that the customer has full knowledge of these General Terms of Sale as well as of the Return and Repair Policies.
Prices applied will be those in force on the delivery date or, in the case of commercial proposals, the values and conditions expressly agreed.
Any amendment to these rules shall only be effective if accepted in writing by both parties.
AGL retains ownership of all goods and materials until full payment, as provided for in Article 409 of the Civil Code.
2. COMMERCIAL TERMS
2.1 Pricing
Prices are unit prices, without special packaging and, unless otherwise agreed, are considered "Ex-works" (collection from our warehouse).
Prices shown do not include VAT or other applicable taxes.
Given the high volatility of the technology components market (notably RAM memory and storage devices), AGL reserves the right to change prices without prior notice until the final order confirmation.
For quoted proposals, prices are guaranteed only for the validity period stated in the document.
2.2. Deliveries and Transport
Deliveries are made at the customer's account, order and risk.
Shipping cost is calculated based on weight, dimensions and destination.
Delivery times shown are estimates based on manufacturer availability.
- 2.3. Order Management and Stock Instability
Stock confirmation: Order placement or payment does not guarantee immediate supply. AGL reserves the right to inform the Customer of the unavailability of specific components even after payment has been received.
Equivalent Products: In the event of a stock shortage or excessive delay from the manufacturer, AGL may propose replacing the item with a component of equivalent performance and price.
Cancellation and Refund: * Standard Stock Items: If we are unable to fulfil the supply or the customer refuses the proposed alternative for current-stock items, AGL will refund the amounts paid.
Special Order Items (Back-to-Back): For products not held in permanent stock and requested from our suppliers specifically to meet the Customer's order, order cancellation and return of items will not be accepted after the Customer confirms/awards the order, unless the manufacturer is definitively unable to supply.
Impossibility of Supply: Only in the event of definitive and absolute supply rupture by the manufacturer (with no technical alternative) will AGL cancel the order and refund the full amounts paid within a maximum of 14 days.
3. FINANCIAL TERMS OF SUPPLY AND CREDIT
3.1 Ready-to-Ship Sales: Applicable to immediate collection or dispatch.
3.2 Credit Sales: Subject to current account approval and credit limits. Standard payment term is 30 days from invoice date, unless otherwise agreed in writing.
3.3 Advance payments: For integrated solution projects or specific material orders, a deposit (advance payment) may be requested. If the customer cancels the order after award, the deposit may be forfeited to cover logistics and reservation costs with suppliers.
4. PENALTIES AND DISPUTES
Late payments incur default interest at the statutory rate in force. To resolve any contractual dispute, the Customer may use the legally established arbitration and mediation mechanisms.
5. WARRANTIES AND REPAIRS
Products marketed by AGL are intended for professional use, and the legal rules applicable to this type of use apply. We apply the warranty period defined by the manufacturer, if longer than the legal period. All defective material management must follow the RMA (Warranty, Repairs and Returns) procedure available in our portal.
6. DAMAGED EQUIPMENT REPAIR

7. COMPLAINTS
Any complaint must be submitted in writing within a maximum of 30 days of becoming aware of the facts. AGL undertakes to analyse and respond within a maximum of 30 days.
